Please read these Terms of Use carefully before using Evueo. By creating an account or using our platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use Evueo. Your agreement is recorded electronically with a timestamp and IP address as required by Nigerian law.

1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Evueo ("we," "us," or "our") governing your access to and use of the Evueo platform available at evueo.com.

By ticking the agreement checkbox during registration, you provide your informed and explicit consent to these Terms and our Privacy Policy. This electronic agreement is valid and enforceable under the Evidence Act 2011 (as amended) and the Cybercrimes (Prohibition, Prevention, etc.) Act 2015 of the Federal Republic of Nigeria.

2. Description of Service

Evueo is a software-as-a-service (SaaS) platform that provides:

3. Eligibility

By registering, you represent and warrant that you meet all eligibility requirements.

4. Account Registration

You must provide accurate, complete, and current information when creating your account, including your full name, company name, and a valid business email address.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@evueo.com if you suspect unauthorised access to your account.

You may not create more than one account per business entity without our written consent. We reserve the right to suspend or terminate accounts where fraudulent, duplicate, or false registration information is detected.

When you connect a Google Spreadsheet to your account, you confirm that you have the legal right to use and write to that spreadsheet, and that doing so does not violate any third-party rights or obligations.

5. Subscription Plans and Payment

Free Tier: Evueo offers a free tier with core extraction and record-saving features. Free tier receipts include an Evueo watermark. Features available on the free tier may change at our discretion with notice.

Premium Tier: Premium subscribers gain access to additional features including custom company logo on receipts, removal of the Evueo watermark, and any other features designated as premium at the time of subscription.

Payment: Premium subscriptions are billed on a recurring basis (monthly or annually as selected). Payment is processed by our third-party payment provider. By subscribing, you authorise us to charge your chosen payment method on the applicable billing cycle.

Cancellation: You may cancel your premium subscription at any time. Upon cancellation, your premium access continues until the end of the current billing period. No partial refunds are issued for unused time within a billing period unless required by applicable Nigerian consumer protection law.

Refunds: Refund requests will be considered on a case-by-case basis in accordance with the Federal Competition and Consumer Protection Act (FCCPA) 2018. To request a refund, contact billing@evueo.com within 7 days of a charge.

6. Acceptable Use

You agree to use Evueo only for lawful purposes related to your legitimate logistics business operations. You must not:

Violation of this section may result in immediate account termination and may be reported to relevant Nigerian authorities including the Nigeria Police Force Cybercrime Unit and NITDA where applicable.

7. Ownership of Data

Your data belongs to you. All waybill content, sender and receiver information, and business records you submit to Evueo remain your property. We process this data solely to deliver the service to you.

By submitting data to Evueo, you grant us a limited, non-exclusive, royalty-free licence to process that data for the sole purpose of providing the extraction, storage, and receipt generation service.

You are responsible for ensuring that any personal data of third parties (such as sender and receiver names and addresses) submitted through Evueo is collected and processed in compliance with the NDPA 2023. You confirm that you have a lawful basis for processing such third-party data as part of your logistics operations.

We do not claim ownership of your company logo, business name, or any content you upload. By uploading a logo, you confirm you own or are licensed to use it.

8. Intellectual Property

The Evueo platform, including its name, logo, design, code, and all original content created by us, is our exclusive intellectual property protected under Nigerian and international intellectual property laws.

Nothing in these Terms grants you any right to use our trademarks, trade names, or branding without our prior written consent. The "Powered by Evueo" mark on free tier receipts is a trademark of Evueo and may not be removed or altered by free tier users.

9. Third-Party Services

Evueo integrates with third-party services including Google Sheets, OpenRouter, and Vercel. Your use of these integrations is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

By connecting a Google Spreadsheet, you acknowledge that data written to that spreadsheet is governed by Google's Terms of Service and Privacy Policy in addition to ours.

10. Disclaimer of Warranties

Evueo is provided on an "as is" and "as available" basis. To the fullest extent permitted by Nigerian law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the AI extraction will be 100% accurate. You are responsible for verifying extracted data before relying on it for business decisions. AI-generated content may contain errors and should not be treated as a substitute for professional review.

We do not guarantee uninterrupted availability of the platform. Scheduled or emergency maintenance may temporarily affect access.

11. Limitation of Liability

To the maximum extent permitted by applicable Nigerian law, Evueo and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity arising from your use of or inability to use the platform.

Our total liability to you for any claim arising from your use of Evueo shall not exceed the amount you paid to us in the three months preceding the event giving rise to the claim, or ₦50,000 (fifty thousand naira), whichever is greater.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded under Nigerian law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Evueo and its operators from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: your use of the platform in violation of these Terms; your submission of data that infringes the rights of any third party; or your violation of any applicable Nigerian law.

13. Termination

By you: You may delete your account at any time through the account settings. Upon deletion, your account data will be removed within 30 days as described in our Privacy Policy.

By us: We may suspend or terminate your account immediately and without notice if you breach these Terms, engage in fraudulent activity, fail to pay applicable subscription fees, or if we are required to do so by law.

Upon termination, your right to access the platform ceases immediately. You remain responsible for any outstanding payment obligations. Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, and governing law — shall continue to apply.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Informal resolution: Before initiating formal proceedings, you agree to contact us at legal@evueo.com to attempt to resolve the dispute informally. We will make reasonable efforts to resolve complaints within 14 days.

Formal disputes: If informal resolution fails, disputes shall be subject to the exclusive jurisdiction of the courts of Imo State, Nigeria, or such other Nigerian court of competent jurisdiction. Both parties submit to the personal jurisdiction of such courts.

Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.

15. Changes to Terms

We may update these Terms from time to time to reflect changes in our service, applicable law, or business practices. When we make material changes, we will notify registered users by email at least 14 days before the changes take effect and update the effective date above.

Your continued use of Evueo after the effective date of updated Terms constitutes your acceptance of the new Terms. If you do not agree to updated Terms, you must stop using the platform and may delete your account.
